CONTRACTOR SALES SYSTEMS PARTNERSHIP AGREEMENT

This Marketing Client & Agency Agreement ("Agreement") is made as of the Effective Date by and between Contractor Sales Systems ("Agency") and the Partner ("Partner"). Both are referred to as a "Party" and collectively as "Parties." By purchasing services from Contractor Sales Systems, the Partner agrees to the terms of this Agreement.

I. Referral Payments

The Partner can reduce their monthly fee by referring new clients. For each referral that becomes a client, the Partner will receive a 10% max reduction in their monthly fee for the client's duration and a 10% commission of up to 3 months for each referred partner .

II. Fees and Expenses

The Partner agrees to pay the monthly fee. The first payment must be paid concurrently with the execution of this Agreement and will be charged to the credit card on file or be due via ACH transfer on the same date of every month. Any services requested by the Partner outside the scope of SEO, PPC, Facebook Ads, or TikTok Ads require additional fees. The Partner agrees to pay all such fees and costs at the time services are rendered and the expenses incurred, as invoiced by Contractor Sales Systems. Contractor Sales Systems reserves the right to require prepayment or an advanced deposit for such additional charges or expenses as it deems appropriate. The Partner shall be responsible for all state and federal sales and use taxes, property, or excise taxes associated with the Partner's purchase or use of Contractor Sales Systems' services.

III. Agreement Term and Termination

The Agreement is for an initial term of one (1) month and will automatically renew each month unless terminated. To terminate, a notice of at least 15 days is required before the scheduled payment date. If notice is not provided within this timeframe, one final payment will be processed for an additional month of service. IV. Refund Policy General Refund Terms

Contractor Sales Systems does not guarantee specific outcomes for services rendered, except in cases covered by the PPC plan. For all other services, results are pursued in good faith but cannot be guaranteed. Conditions for Refund

Refunds are only applicable under the PPC plan’s performance guarantee. If the PPC campaign fails to achieve the outlined results, the Partner may request a refund for the PPC management fee (not including ad spend). To qualify, the Partner must have spent a minimum of $1,000 per month on ads during the campaign. V. Service Guarantee

Contractor Sales Systems guarantees at least 25 qualified leads within three months on the basic PPC plan, as long as there’s a minimum ad spend of $1,000 each month. If we don’t meet this goal, you’ll get a full refund on our management fee (excluding ad spend).VI. Website Redesign

When choosing the website redesign service with Contractor Sales Systems, the Partner will first receive an initial design draft tailored to their needs and specifications. If the Partner is unsatisfied with this initial design, they are entitled to request up to two additional redesigns at no additional cost. These subsequent versions will address feedback and adjustments, ensuring the website reflects the Partner's vision and branding. This policy is designed to foster collaboration and guarantee that the Partner receives a website that meets their expectations, all within the agreed scope of the redesign package. VII. SEO and PPC Services

Refunds are not applicable for SEO and PPC services that do not come with a guarantee. Contractor Sales Systems is committed to fostering enduring partnerships with our clients, focusing on strategies that effectively scale their businesses. VIII. Website Hosting Policy

Contractor Sales Systems will build and host the Partner's website. Transfer to another provider is prohibited. Free hosting is included with PPC and SEO plans; otherwise, a $50 monthly fee applies. IX. Liabilities

Contractor Sales Systems is committed to providing a secure and reliable service. However, we cannot be held liable for any damages or losses resulting from software breaches or cybersecurity incidents. While we have implemented robust cybersecurity protocols to protect our systems and your data, it is important to understand that no system can be completely immune to risks. We continuously monitor and update our security measures to mitigate potential threats, but we cannot guarantee absolute security against all forms of cyberattacks. In the event of a security breach, we will take immediate action to address the issue and minimize any potential impact on our clients. We encourage our Partners to also take necessary precautions, such as using strong passwords and regularly updating their own security measures, to protect their information. By engaging with Contractor Sales Systems, you acknowledge and accept these limitations regarding liability for software breaches and the associated risks. X. Privacy Policy

Contractor Sales Systems will not share the Partner's information with any third parties. XI. No Guarantee of Specific Results

Results are not guaranteed outside the PPC plan. Contractor Sales Systems cannot control changes made by advertising platforms. XII. Non-Disparagement

Both Parties agree not to disparage each other during and after the Agreement, except as required by law. XIII. Limitation of Liability

Contractor Sales Systems limits its liability to the amount paid by the Partner in the previous month for any claims or damages related to its services. This limit excludes indirect damages, meaning that the company will not be responsible for any consequential losses, such as lost profits. This policy ensures both parties understand their financial exposure, fostering a more effective partnership. XIV. Force Majeure

Neither Party is liable for delays due to uncontrollable events (e.g., natural disasters, pandemics). XV. Default

If the Partner fails to pay fees, Contractor Sales Systems may pause or terminate the Agreement. XVI. Governing Law

The Agreement is governed by the laws of Connecticut. XVII. Attorney's Fees

Each Party may recover attorney's fees in disputes arising from this Agreement. XVIII. Entire Agreement

This Agreement supersedes prior agreements. Amendments must be in writing. XIX. Severability

If any provision is invalid, the remaining provisions remain effective. XX. Assignment of Rights

Contractor Sales Systems may transfer rights without consent in the event of a business buyout [The Partner will be informed if this occurs]. The Partner needs consent for transfers. XXI. Solicitation of Employees and Customers

Contractor Sales Systems will not solicit other clients during or after this Agreement. XXII. Indemnification

The Partner agrees to indemnify Contractor Sales Systems from claims arising from their actions or breaches of the Agreement. XXIII. Notices

Notices must be in writing and delivered as stated in the Agreement.IN WITNESS WHEREOF, the Parties have signed this Agreement as of the Effective Date.
